Terms of Service
Effective date: October 5, 2026
1. Introduction
Welcome to Dunaroo, LLC ("Dunaroo," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our client project and lead management software, including client review pages, website lead forms, email features, file storage, and Roo, our AI assistant, including any content, functionality, and services offered on or through our application (the "Service").
By using the Service, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Company Information
Full Legal Name: Dunaroo, LLC
Incorporated in: Delaware
3. Service Description
Dunaroo provides software for running client work and new business. Key features include:
- Sending messages and project updates to your clients by completing tasks within the application.
- Branding emails and client-facing portions of the site with your organization logo, fonts and brand colors.
- Adding multiple users to your organization with controlled permissions.
- Assigning tasks to clients and sending reminders for task completion.
- Sharing a client review page where your clients can follow a project's progress, comment, and complete the tasks assigned to them.
- Receiving your clients' replies to Dunaroo emails and adding them to the related task, project, or lead.
- Collecting inquiries through forms on your own website ("Leads") and managing them in a leads inbox.
- Using Roo, our AI assistant, to help with your work in Dunaroo.
- Storing and sharing files with your team and clients.
4. Roo and AI Features
Some features use artificial intelligence provided through a third-party AI provider ("AI Features"), including Roo. Roo is available in parts of the Service today, and we expect to bring Roo and other AI Features to more of it over time. When you or your settings use an AI Feature, we send the content that feature needs to that provider to produce the result. Depending on the feature, that can include inquiries, projects, tasks, comments, files, email conversations, your settings and voice, and information Roo finds on the public web.
AI output can be inaccurate or incomplete, and can describe people or businesses incorrectly. You are responsible for reviewing AI output, including research, scores, summaries, and drafted messages, before relying on it or sending it. Roo acts automatically, for example by sending messages or follow-ups, only where you turn that on, and you are responsible for what it sends and does on your behalf.
AI Features run on Roo credits as described in Section 6. We do not use Customer Data to train AI models, and our AI provider does not use it to train its models under our agreement with it.
You must not use AI Features to make decisions that produce legal or similarly significant effects on individuals (for example, decisions about employment, credit, or housing).
5. User Information
The Service is intended for businesses or individuals performing work for clients ("you"). By using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.
6. Subscription and Payment
Plans. The Service is offered on the plans described on our pricing page, priced per seat and billed monthly or annually in advance for the number of seats on your subscription. Each organization is billed separately.
Renewal. Subscriptions renew automatically at the end of each billing period, at the then-current price, until cancelled. You can cancel at any time in the billing portal (Billing, then Invoices & payment method) or by contacting us; cancellation takes effect at the end of the current period. Where the law requires it, we email a reminder before an annual subscription renews. We may change plan prices by emailing the account owner at least 30 days before the change applies to your next renewal.
Trials and changes. New organizations may start with a free trial. If you change plans, seats, or billing period, charges or credits for the rest of the current period may be prorated.
Roo credits. Plans that include Roo credits come with a monthly allowance, which resets on the first day of each calendar month; unused credits do not carry over. You can buy additional credit packs, which are used only after any monthly allowance and expire 12 months after purchase, as shown at checkout. Credit packs are non-refundable, and unused credits end when your organization is deleted.
Non-payment. If a renewal payment fails, your organization keeps working for a short grace period while the payment is retried. After that, it is limited as described in Section 10 until payment is made.
Payments are processed by our payment processor, Stripe; we do not store full card numbers. Refunds are granted solely at our discretion on a case-by-case basis.
7. User Responsibilities
You are responsible for maintaining the confidentiality of your account information and credentials.
You are solely responsible for all content you upload, transmit, or share through the Service. By uploading content, you agree to indemnify and hold Dunaroo harmless from any claims, damages, or losses arising from such content. You are required to comply with all applicable local, state, national, and international laws when using the Service.
Your clients, contacts, and leads. You are responsible for having a lawful basis, and for giving any notice required by law, to collect information about your clients, contacts, and website visitors and to have Dunaroo process it for you. This includes displaying a privacy notice on any website where you place a Dunaroo lead form.
Email. You must only send email through the Service to people who would reasonably expect to hear from you, and you must comply with applicable anti-spam laws.
You must not abuse the Service in any way, including but not limited to:
- You agree not to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying ideas, know-how, or algorithms relevant to the Service.
- You agree not to use the Service for any illegal or unauthorized purpose (e.g. spamming, impersonation, etc.).
- You agree not to use the Service to upload or distribute any content that is unlawful or defamatory.
- You agree not to attempt to bypass the Service's usage limits, including Roo credit limits, rate limits, or bot protection.
8. Data Handling
We take your data privacy seriously and strive to protect it; however, we cannot guarantee absolute security. We collect and store your name, company details, emails, and other relevant data necessary to provide the Service in accordance with our Privacy Notice, which is incorporated into these Terms by reference.
Information about your clients, contacts, and leads that you or they submit through the Service is Customer Data. We process Customer Data on your behalf and according to your instructions and settings, to provide the Service. We use the service providers listed in our Privacy Notice to do this, under their data protection terms.
Emails sent through the Service record delivery, bounces, spam complaints, and link clicks; we do not track email opens. You can delete leads and files while your subscription is active, and ask us to delete your organization.
Project pages inside the Service are visible only to your organization's members who have access to them. A project with a client and a client contact can also have a client review page: you can turn it on, and it turns on by itself when you assign a task to the client. Anyone who has its private link can see what you share there unless you also set a password. You can turn it off at any time, and you are responsible for who you share the link with and for what you make visible on it.
If you need a Data Processing Addendum for the personal information you process in Dunaroo, contact us at contact@dunaroo.com.
9. Intellectual Property and Confidentiality
All rights, title, and interest in and to the Service, including any content provided by Dunaroo, are owned by Dunaroo, LLC. You may upload your own content and are solely responsible for it. Each party understands that the other party has disclosed or may disclose business, technical, or financial information relating to the disclosing party’s business (hereinafter referred to as “Proprietary Information”). Proprietary Information of Dunaroo includes non-public information regarding features, functionality, and performance of the Service. Your Proprietary Information includes non-public data provided to Dunaroo to enable the provision of the Service (“Customer Data”).
The Receiving Party agrees: (i) to take reasonable precautions to protect such Proprietary Information, and (ii) not to use (except in performance of the Service or as otherwise permitted herein) or divulge to any third person any such Proprietary Information. You shall own all right, title, and interest in and to the Customer Data. Dunaroo shall own and retain all right, title, and interest in and to (a) the Service and all improvements, enhancements, or modifications thereto and (b) all intellectual property rights related to any of the foregoing. You warrant to Dunaroo that you have the legal right to have and use all Customer Data in accordance with all applicable laws and regulations.
Notwithstanding anything to the contrary, Dunaroo shall have the right to collect and analyze data and other information relating to the provision, use, and performance of various aspects of the Service and related systems and technologies (including, without limitation, information concerning Customer Data and data derived therefrom). Dunaroo will be free (during and after the term hereof) to (i) use such information and data to improve and enhance the Service and for other development, diagnostic, and corrective purposes in connection with the Service and other offerings, and (ii) disclose such data solely in aggregate or other de-identified form in connection with its business. This does not permit Dunaroo to use Customer Data, or content created from it, to train AI models, or to disclose Customer Data in a form that identifies you, your clients, or your leads.
10. Termination, Suspension, and Service Modifications
We reserve the right to modify, suspend, or discontinue the Service, or any part thereof, at any time. If we discontinue the Service as a whole, we will give paying customers at least 30 days' notice and refund any prepaid fees for the period after it ends. We also reserve the right to delete any content or terminate any account that we determine, at our sole discretion, is engaged in suspicious or harmful activity. You can cancel your subscription at any time in the billing portal; your organization is then limited as described below. To close your account or have your organization and its data deleted, email us at contact@dunaroo.com.
If your subscription ends, your organization's members can still view its projects, but no one can make changes, and some areas (such as leads and contacts) are unavailable. The account owner can still manage billing and resubscribe at any time. To have data deleted while your organization is in this state, email us at contact@dunaroo.com. We may delete an organization 12 months after its subscription ends, after emailing the account owner at least 30 days beforehand.
11. Liability, Disclaimers, and Indemnification
To the maximum extent permitted by law, Dunaroo, LLC disclaims all warranties, express or implied, regarding the Service's reliability, availability, or suitability for any purpose, including the accuracy of AI output. We are not liable for any indirect, incidental, special, or consequential damages arising from the use of the Service, including but not limited to data loss or service interruptions due to third-party vendors or providers.
Our total liability for any claim arising out of or relating to the Service is limited to the amounts you paid us for the Service in the 12 months before the claim arose. This limit does not apply to your obligation to pay fees or to your indemnification obligations.
You agree to indemnify, defend, and hold harmless Dunaroo, its officers, directors, employees, agents, and affiliates, from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any intellectual property or other rights of any person or entity.
12. Dispute Resolution
Any disputes arising under these Terms will be resolved through binding arbitration in accordance with the Commercial Arbitration rules of the American Arbitration Association. Each party pays its own costs and attorneys' fees, and arbitration fees are shared as those rules provide. Either party may instead bring an individual claim in small claims court if it qualifies. The laws of the State of Delaware will govern these Terms and any disputes.
13. Amendments to the ToS
We may update these Terms from time to time. When we do, we will post the updated Terms here with a new effective date. For significant changes, we will also let you know by email, by a notice in the Service, or by asking you to agree to the updated Terms in the Service. Updated Terms take effect on their effective date, and continuing to use the Service after that date means you accept them.
14. General Provisions
If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and Dunaroo regarding your use of the Service and supersede any prior agreements or understandings, whether written or oral.
15. Contact Information
